Terms of Service
Effective date: October 19, 2026
Last updated: October 19, 2026
These Terms of Service ("Terms") govern your use of the Filarise website, account services, bank-data integrations, and Model Context Protocol (MCP) service (together, the "Service"). The Service is operated by Nikita Samartsev, operating as Filarise, located in Fredericton, New Brunswick, Canada ("Filarise", "we", "us", or "our").
Please read these Terms before creating an account. By creating an account, you agree to these Terms. Our Privacy Policy explains how we handle personal information.
1. What Filarise provides
Filarise allows you to connect supported financial accounts through supported bank-data integrations and make information about those accounts, balances, and transactions available to an AI client that you choose and authorize through MCP.
The Service provides access to financial information. It is not a bank, does not hold your money, and does not execute payments, transfers, or investment trades. Availability of particular banks, account types, transaction history, and features depends on your plan and the capabilities of our integration providers.
2. Eligibility and account responsibilities
You must have reached the age of majority in your province or territory of residence to use the Service and be legally able to enter into these Terms. By creating an account, you confirm that you meet this requirement. The Service is offered in Canada.
Provide accurate account and billing information and keep it current. Protect your account credentials, review authorized connections, and contact us promptly if you suspect unauthorized access.
Only connect financial accounts that you own or are authorized to access. If you use Filarise on behalf of a business, you must have authority to accept these Terms and authorize access to the relevant information on its behalf.
3. Bank connections and data availability
Bank connections are provided through Plaid. By connecting an account, you authorize Filarise and its providers to obtain and synchronize the financial information needed to provide the Service, as explained in the connection flow and our Privacy Policy.
Banking information may be delayed, incomplete, unavailable, or revised by the financial institution or provider. Filarise does not guarantee real-time updates or uninterrupted connections. You may need to reconnect an account or complete additional authentication.
Use your financial institution's official records to verify balances and transactions before making financial decisions. Disconnecting a bank and deleting your Filarise account are separate actions; the effects on retained data are described in our Privacy Policy.
Your plan may have separate limits on the number of banks connected at one time and the number of new bank connections successfully created during a rolling period. The applicable limits and counting period are disclosed in the plan details before you subscribe and in the bank-connection controls. Each newly created connection counts toward the new-connection limit, including a connection to a bank you previously disconnected. Disconnecting or deleting a connection does not reset that limit or restore an allowance already used. Reauthorizing an existing connection without creating a new one does not count as a new connection.
If you reach the new-connection limit, you must wait until an allowance becomes available under the disclosed counting period or contact support to request an exception. Exceptions are considered individually and are not guaranteed. These limits do not prevent you from disconnecting a bank or requesting account deletion.
4. Connecting an AI client through MCP
You choose whether to connect Filarise to a compatible AI client. When you authorize a connection, that client can request your financial information through the permissions available in the connection.
Review the AI provider's terms and privacy practices before connecting. Filarise does not control the client's outputs, data retention, model training practices, or handling of information after it has been provided to that client. Revoking a connection stops future authorized access through that connection; it does not remove information already received or stored by the AI provider.
Filarise does not retain the contents of MCP requests and responses. Technical and usage information may be processed as described in our Privacy Policy.
Filarise provides financial data through MCP; it does not operate the AI client or generate or control its answers. Interpretations, recommendations, and other outputs produced by a third-party AI client are not advice or recommendations from Filarise. Verify important information independently and obtain professional advice where appropriate. This distinction does not exclude responsibility for Filarise's own handling of data or access permissions where applicable law imposes that responsibility.
5. Plans, prices, and billing
Filarise offers subscription plans whose names, features, limits, prices, currencies, and available billing intervals are displayed on the pricing page and during checkout. Before you confirm a subscription, checkout identifies your selected plan, applicable price and currency, billing interval, plan limits, and applicable taxes. The subscription details you accept at checkout form part of your agreement with Filarise, together with these Terms.
Subscriptions are billed for the billing period selected at checkout. An annual subscription is billed for the annual period; it is not a monthly payment arrangement unless expressly stated at checkout.
Payments are processed through Stripe. You authorize recurring charges to your selected payment method for the subscription price and applicable taxes disclosed to you, subject to the change and cancellation rules in these Terms. Keep your payment information current.
We may introduce, rename, modify, or discontinue plans and offers. Changes to offers for future subscriptions do not, by themselves, change the conditions already agreed for your subscription. Changes affecting an existing subscription follow Section 13 and applicable law. These Terms do not grant features or limits that are not included in your selected plan.
6. Free trials and promotional offers
Filarise may offer free trials or other promotional offers. Availability, eligibility, duration, included features, payment-method requirements, and any special conditions are disclosed before you activate the offer.
Where a trial is followed by a paid subscription, the activation or checkout flow identifies the trial end date, selected paid plan, billing interval, price and currency after the trial, date of the first scheduled charge, and how to cancel before that charge.
If the offer includes automatic conversion to a paid subscription, your subscription converts to the selected paid subscription and your payment method is charged when the trial ends, unless you cancel before then. Paid subscriptions then renew automatically for the billing interval disclosed at checkout unless cancelled.
Cancelling renewal during the trial prevents the scheduled subscription charge, and trial access continues until the trial's scheduled end date. This does not override a separate account-deletion request or a lawful restriction of access under these Terms. Any separate charges or immediate plan changes must be disclosed and confirmed before they occur.
We may change or withdraw trial and promotional offers for future activations. We will not shorten a trial already granted or retroactively replace its accepted promotional conditions merely because a new offer becomes available.
7. Upgrades and downgrades
An upgrade takes effect immediately after confirmation and successful processing of any required payment. When the billing interval remains unchanged, the charge is the prorated difference between the old and new plans for the remaining portion of the current billing period. When an upgrade also changes the billing interval, our payment provider calculates the amount payable and any applicable credit for the unused portion of the existing subscription. The additional charge, any applicable credit, the new subscription price and billing interval, and the next renewal date are displayed before you confirm the change.
A downgrade takes effect at the end of the current paid billing period. You retain the existing plan until then. A scheduled downgrade does not automatically refund the current period.
Before you can confirm a downgrade, the number of connected banks must comply with the selected lower plan's bank-connection limit. If you exceed that limit, you must manually remove enough bank connections first. We will explain the limit and the required action before allowing confirmation. Until you meet the limit and confirm the change, no downgrade is scheduled and your current subscription remains in effect, subject to your separate right to cancel renewal. Requesting a downgrade does not itself cancel renewal or automatically remove bank connections.
Changes between monthly and annual billing take effect at the end of the current paid billing period, unless the change also includes an upgrade. A change that includes an upgrade takes effect under the upgrade rules above.
8. Automatic renewal and cancellation
Subscriptions renew automatically unless you cancel before the next renewal. You can cancel renewal through the subscription controls in your account. If those controls are unavailable, contact support@filarise.com for assistance.
For every subscription that automatically renews for an annual period, we will provide a renewal notice at least 30 days and no more than 60 days before the renewal date, regardless of your province or territory. The notice will state the renewal date, the amount scheduled to be charged and applicable taxes, how to cancel, your applicable cancellation rights, and that the subscription will renew automatically unless cancelled. This notice does not limit any additional rights or notice requirements under applicable law.
For an ordinary cancellation, access continues until the end of the paid period. No further renewal charge is scheduled after cancellation takes effect. Cancellation does not automatically delete your account or create a refund.
When a subscription ends following cancellation, bank synchronization stops immediately at the end of the paid period, and paid features are no longer included. The failed-payment grace period in Section 9 does not apply to an ordinary cancellation. Cancelling renewal during a trial follows Section 6.
Stopping synchronization does not itself delete previously synchronized information. If your account has no active subscription and remains inactive for 180 consecutive days, we delete the account and its connected banking information from the active database and clear personal profile information. The period begins on the later of the date your active subscription ends and your last signed-in use of the account. Signed-in use of the account or activation of a subscription interrupts that period; background synchronization alone does not count as account activity.
This retention period allows you to return to your account with its stored history. An account-deletion request instead follows the seven-day process in Section 11. Minimal payment records, any information that must be retained for legal obligations or unresolved requests or disputes, and backup copies are handled as described in our Privacy Policy. Once deletion is finalized, registering again does not restore the deleted account or banking information.
9. Failed payments
If a subscription payment fails, bank synchronization continues for a 3-day grace period following the failed renewal payment. If payment is not successfully collected during that period, bank synchronization stops.
MCP access is disabled immediately when a renewal payment fails; the three-day bank-synchronization grace period does not extend MCP access. You retain access to your account and the Billing and Accounts management sections during and after that period, including the controls to manage payment, cancel renewal, disconnect banks, and request account deletion. Access to those management sections does not restore MCP access or extend synchronization beyond the grace period. Stopping synchronization or MCP access does not itself mean that stored information has been deleted.
Your payment method may be retried in accordance with our payment-retry settings. After payment is resolved, restoration of synchronization and access follows the applicable subscription status and any required bank reconnection.
10. Refunds
To request a refund, email support@filarise.com with your account email, payment date, and reason for the request. Do not send full card numbers or bank credentials. We may request information reasonably needed to identify the payment and evaluate your request.
Our refund policy is:
- Ordinary cancellation or non-use: cancelling or choosing not to use the Service does not automatically entitle you to a refund for a paid period.
- Duplicate or incorrect charges: verified duplicate charges or amounts charged in error will be corrected and the erroneous amount refunded.
- Accidental renewal: contact us within 7 days of the renewal charge. We review requests individually, including use of the Service after renewal. A refund is not guaranteed solely because the request falls within this period.
- Significant technical problems: if a material problem prevents the core Service from working, contact us so we can investigate and attempt to resolve it. Depending on the problem, its duration, and its impact, we may issue a full or partial refund.
- Annual subscriptions: ordinary cancellation does not automatically produce a prorated refund for the unused portion of the year. The exceptions above still apply.
Approved refunds are returned to the original payment method where possible. Processing and posting times depend on the payment provider and financial institution. Review times vary with the complexity of the request and any information needed to assess it. We do not guarantee a specific support response or refund-review time, except where applicable law requires a deadline.
Temporary service interruptions do not automatically entitle you to a refund, service credit, or subscription extension. Requests involving significant technical problems are considered under the policy above. This policy does not exclude or limit any refund or cancellation rights that cannot be waived under applicable law.
11. Account deletion and seven-day recovery period
When you request account deletion, your account enters a 7-day pending-deletion period. Ordinary account access, MCP access, and bank synchronization are disabled, and subscription auto-renewal is cancelled.
During this period, information needed to restore the account is temporarily retained. You may cancel deletion by verifying your identity and explicitly choosing to restore your account. Signing in alone does not cancel deletion. Restoring the account does not automatically restart billing or authorize a new payment; renewal of paid access and connections may require further action.
After the 7-day period, deletion is finalized: connected banking information is deleted from the active database and personal profile information, including email, is cleared. Minimal payment records are retained separately for applicable accounting, refund, dispute, and legal purposes, for the periods stated in our Privacy Policy.
Once deletion is finalized, the account cannot be restored. A later registration creates a new account and does not automatically recover previously deleted information. Backup copies expire according to the schedule disclosed in our Privacy Policy.
Account deletion does not automatically refund a previous payment. Refund requests follow Section 10, subject to applicable law.
12. Acceptable use
You must not use the Service to access information without authorization, evade plan limits or security controls, interfere with its operation, distribute malware, or carry out unlawful or fraudulent activity.
Do not share access in a way that exposes another person's financial information without authorization. Automated use must comply with your plan, documented limits, and access permissions. You must not resell access without our written permission, bypass rate limits, create accounts to evade restrictions or promotional eligibility rules, or use the Service to infringe another person's rights. Restrictions on reverse engineering apply only to the extent permitted by applicable law.
We may enforce documented usage limits and apply proportionate technical restrictions reasonably needed to protect security, prevent abuse, or maintain reliable operation. Such controls do not authorize undisclosed charges or retroactive reductions in agreed paid-plan entitlements.
We may restrict or suspend access where reasonably necessary to address misuse, unauthorized access, a security risk, or a legal requirement. Where appropriate and feasible, we will explain the reason and how to resolve the issue. Suspension does not remove rights you have under applicable law.
13. Service availability and third-party services
The Service may experience temporary interruptions, delays, maintenance, or errors. We make reasonable efforts to operate the Service and address issues within our control, but do not guarantee uninterrupted availability, a particular uptime percentage, response time, synchronization frequency, or deadline for resolving an issue.
No subscription plan includes a service-level agreement (SLA), guaranteed support response time, or 24/7 support commitment unless expressly agreed in a separate written agreement.
We do not guarantee continuing availability of any particular financial institution or compatibility with every MCP or AI client. Verify information independently before using it for decisions with significant consequences.
We may update the Service. Material changes to paid features or prices affecting your subscription will be communicated before they take effect, with any notice, consent, and cancellation rights required by applicable law. You may cancel renewal before a new renewal price takes effect. We will not apply a new renewal price retroactively to an already-paid period. Publishing a new pricing page does not, by itself, replace the conditions you previously accepted.
14. Intellectual property
Filarise and its licensors retain their rights in the Service's software, branding, and other materials. Your subscription gives you permission to use the Service under these Terms; it does not transfer ownership of those materials.
We do not claim ownership of your personal financial information. You authorize us to process the information you connect or provide only as needed to supply, secure, and support the Service and respond to your authorized requests, consistent with your permissions, our Privacy Policy, and applicable law. This authorization does not grant ownership, permission for unrelated marketing, or unrestricted use of your financial information.
15. Disclaimers and limitations of liability
To the extent permitted by applicable law, the Service is provided without a guarantee that third-party financial information or AI-generated interpretations will be accurate, complete, or suitable for every purpose.
To the extent permitted by applicable law, Filarise will not be liable for indirect, incidental, special, or consequential losses arising from use of, or inability to use, the Service, including lost profits, anticipated savings, or business opportunities.
To the extent permitted by applicable law, Filarise's total aggregate liability to you for claims arising out of or relating to the Service or these Terms will not exceed the greater of CA$100 and the total subscription fees you paid to Filarise during the 12 months immediately preceding the event giving rise to the claim. This limit applies to all such claims in aggregate.
These exclusions and limits do not apply to fraud or wilful misconduct by Filarise, or to any other liability that applicable law does not allow us to exclude or limit. They do not reduce refunds required by applicable law or expressly owed under Section 10.
Nothing in these Terms excludes liability, warranties, remedies, or consumer rights that cannot lawfully be excluded.
16. Governing law and disputes
These Terms are governed by the laws of New Brunswick and the federal laws of Canada applicable there. This choice does not deprive you of mandatory consumer protections that apply under the laws of your province or territory of residence.
To the extent permitted by applicable law, the courts of New Brunswick have exclusive jurisdiction over disputes arising from these Terms or the Service. This provision does not restrict any non-waivable right to bring a claim before another court or tribunal.
If you have a concern, please contact us so we can attempt to resolve it. Contacting us first is not a prerequisite to exercising your legal rights or filing a complaint.
17. Changes to these Terms
We may update these Terms to reflect changes to the Service or applicable requirements. We will identify the effective date and provide advance notice of material changes where appropriate or legally required. Where new acceptance is required, we will request it before applying the affected changes.
18. Suspension, termination, and discontinuation
Subject to applicable law, we may terminate an account for a material or repeated breach of these Terms, fraudulent or unlawful use, or an unresolved security risk that cannot reasonably be addressed through a more limited restriction. Where appropriate and feasible, we will provide notice and an opportunity to remedy the issue. Immediate restrictions may be necessary to prevent harm or comply with law.
Suspension or termination does not create a penalty fee or authorize new subscription charges. If we terminate your paid subscription, future auto-renewal is cancelled. Refunds and any amounts lawfully owed remain subject to Section 10 and applicable law; this section does not impose automatic forfeiture of all prepaid fees.
We may discontinue the Service or a material feature, subject to applicable notice, consent, and consumer-protection requirements. Where reasonably possible, we will provide advance notice and an opportunity to obtain your information through available controls or support. If we permanently discontinue your paid Service before the end of its prepaid period, we will refund the fees attributable to the remaining period during which that Service is not provided, unless an alternative is expressly agreed with you.
Termination does not itself determine when information is erased. Retention, access requests, and deletion remain governed by our Privacy Policy and applicable law. It does not prevent you from pursuing a valid refund, privacy request, or legal remedy.
19. General contract provisions
Agreement and priority. These Terms and the subscription or promotional details you expressly accept govern your use of the Service. Accepted checkout details determine the specific plan, price, billing interval, limits, and offer conditions. Any separate written agreement expressly accepted by both parties takes priority only for the matters it specifically addresses. The Privacy Policy governs our information practices and is not overridden by these provisions. Mandatory legal protections take priority over conflicting wording.
Severability. If a provision is held invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law. This does not validate a prohibited provision or reduce mandatory consumer rights.
No waiver. A failure or delay in enforcing a provision does not, by itself, waive the right to enforce it later. Any waiver applies only to the matter expressly covered.
Continuing provisions. Provisions concerning accrued payment obligations, refunds, intellectual property, lawful information retention, limitations of liability, and disputes continue after termination to the extent their nature requires. Termination does not authorize continued access to disconnected financial accounts or new charges.
Notices. We may provide service and contract notices through your account or the email address you maintain with us, subject to any form and delivery requirements imposed by law. Keeping your contact information current helps you receive important notices. This does not mean every notice is deemed received merely because it was sent.
20. Quebec consumers
This section applies where you are a consumer domiciled or resident in Quebec and the relevant mandatory Quebec protections apply to your agreement with Filarise. It takes priority over conflicting provisions of these Terms. The name of your subscription plan does not, by itself, determine whether you are a consumer.
Responsibility and legal remedies. The exclusions and limitations of liability in Section 15, including the monetary cap, do not release Filarise from the consequences of its own acts or the acts of its representatives where prohibited by section 10 of Quebec's Consumer Protection Act. No disclaimer, refund policy, or availability provision excludes mandatory warranties, liability, or remedies under applicable Quebec law.
Changes to your agreement. Subject to section 11.2 of Quebec's Consumer Protection Act, the provisions we may amend unilaterally are those concerning non-essential interface and technical operating requirements, usage and security procedures, and support procedures. Changes to price, the essential nature of the Service, or the contract term may be made unilaterally only where permitted for an indeterminate-term service contract. This clause does not permit unilateral changes to essential elements of a fixed-term contract or override the protection of an already-paid period.
For a unilateral amendment permitted under that section, we will send you a clear, legible written notice at least 30 days before it takes effect. The notice will contain only the new clause, or the amended clause and its former wording, the effective date, and your applicable rights to refuse the amendment and end the agreement. If the amendment increases your obligations or reduces ours, you may refuse it and rescind or terminate the agreement, as applicable, without cost, penalty, or cancellation indemnity, by notifying us no later than 30 days after the amendment takes effect. Amendments made contrary to those requirements cannot be enforced against you. Any resulting refund or settlement remains subject to applicable law.
Termination by Filarise. Our rights under Section 18 are subject to section 11.3 of Quebec's Consumer Protection Act. We may not unilaterally terminate a fixed-term service contract involving sequential performance except on the grounds and under the conditions permitted by articles 1604 and 2126 of the Civil Code of Quebec and, where applicable, article 2129. If we intend to terminate an indeterminate-term service contract involving sequential performance and you have not defaulted on your obligations, we will notify you in writing at least 60 days before termination. Temporary protective restrictions do not create an unrestricted right to terminate the agreement or retain amounts that must be returned by law.
Courts and dispute rights. Nothing in these Terms requires you to waive the jurisdiction of Quebec authorities where protected by article 3149 of the Civil Code of Quebec. No provision requires mandatory arbitration, prevents you from bringing a court proceeding or class action, or deprives you of the right to participate in a class action where protected by applicable law. You may voluntarily agree to alternative dispute resolution after a dispute arises.
